The Company, RussThai International Co., Ltd., was formed on November 1992, and RussThai Consulting Co., Ltd.,
in May 1996 for the purpose of creating an organization to provide what could
best be describes as diplomatic and logistic services between developing countries and international
businesses, RUSSTHAI diplomatic services have been established by developing close relationships with the
appropriate foreign and domestic government agencies and key individuals in the
international business community.
RUSSTHAI logistic services are a broad base of information and services regarding imports, exports,
critical resources, transportation, management, business opportunities, infrastructure projects, cultural data,
and general services in country. Three major logistic service of the Company will be to
1) identify and qualify both government contacts and business entities,
2) identify and qualify projects, and
3) bringing together the correct government contacts, business entities and financial resources needed to successfully
complete the targeted projects.
The Company has established relationships with key officials and leaders located in several countries in
Eastern Europe and Asia.
1994 Bjorn Hammarback, RUSSTHAI's Executive Direrctor for International Business
Development, was selected to be one of 150 business leaders to take part in the first ever Russian Conference on Trade and
Development in Eastern Europe. This conference provided many contacts and associations with diplomatic officials
from every country in Eastern Europe, as well as with leading Western business leaders doing business in the region.
Problem: Identification of Opportunities
The first major difficulty for businesses looking to expand their operations or markets overseas is the identification
of real opportunities. The ability to continually search for projects in other countries is available to only the
companies that have funds available for in-country personnel to travel to and locate those projects which may be
suitable to the companyÍs plans, goals and financial resources. RUSSTHAI International has developed an extensive network
of in-country contacts which research viable and profitable opportunities in a variety of business sectors.
These in-country contacts range from business leaders to Ministry level positions within the government.
RUSSTHAI is constantly receiving information about upcoming projects and market research reports in many countries,
which it then is able to evaluate against a set criteria. This information is then made available to any clients
interested.
Problem: Oversight and Advice
One of the most important determinations outside of evaluating the project itself, is to determine whether the
political and economic environment is conducive to the proposed project. Intervening factors such as civil war,
political and constitutional disputes, high inflation, bad government credit, lack of supporting industries and
political protection of investment are all very important in making a decision to proceed. This needed information
may not always be readily available to the company. RUSSTHAI will utilize its various contacts inside the western
community and in the country itself to make a determination of all these factors. RUSSTHAI is composed of experts
in the fields of financing, political science, international affairs, technical expertise (such as engineering),
construction management, and economics. Using these sources of information, RUSSTHAI is in a unique position of
analyzing up to the minute information on political and economic problems and advances. Combining the information
and the expertise in one source, RUSSTHAI can provide its clients with the best informed opinions on all pertinent
matters to engaging projects in foreign markets.
Problem: Introductions In-Country
Once the decision has been made to pursue a particular project, the next step in successful participation in a
project is having introductions to the appropriate foreign officials. One of the many problems experienced by companies
is finding out who the decision makers are, and a further complication arises by not being able to be received by
those same individuals. Through its previous work and associations in the various countries, RUSSTHAI can make an
analysis of who in government and business can assist in concluding discussions and negotiations for the project.
RUSSTHAI has identified a few particular individuals who have proven their ability to properly advise on who to see,
and to make appointments with those officials. This degree of access can eliminate months, sometimes years of red
tape (and the wasted resources behind that time delay), and turn a project around.
Problem: Project Financing
Once the needed approvals have been given, many projects are delayed due to difficulties in finding sources of finance.
Two avenues need to be considered here. The first view is locating financing for the project itself, whether through
multi-lateral sources, bank financing, or good faith sovereign guarantees. The second view is financing a project
through the resources of the company itself. RUSSTHAI can assist with both of these. RUSSTHAI has developed networks
to most of the multi-lateral funding sources, as well as with different governmental organizations. Working with these
sources, RUSSTHAI can assist in the process of obtaining financing or insurance for projects. Many companies want to
invest their own money into projects for ownership. This requires significant revenues, but is attractive to long-term
investment and can be achieved through stock offerings or joint ventures. RUSSTHAI can assist in developing sources for

Problem: In-Country Coordination

Problem: Corruption
A highly publicized and frequently discussed topic among those involved in overseas projects is the problem with
corruption. Many companies experience it, but few handle it well. Many companies that have given into the easy nature
of paying bribes have frequently found their investment all for naught. Corruption generally exists at the mid-management
level. The bribes are usually to take a company to the next level, which may or may not be the actual decision making
level. In many cases, RUSSTHAI can advise companies on how to avoid this pitfall. The RUSSTHAI approach is to identify
the necessary officials and providing access to the decision making level from the beginning. However, in the event a
company is approached, RUSSTHAI can advise a company on how to deal with the problem. RUSSTHAI will caution against
engaging in such practices for two reasons: first, the payoff rarely gets you what is promised; second, it is a
violation of the Law, and may also be against local regulations. RUSSTHAI will assist in traversing these troubled
